Terms of Service

1. Definitions

• "Platform Services" — the VeroSkills software used by Clients to invite Members to open roles, manage outreach, conduct AI-assisted interviews, and organize candidate information for recruiter review.
• "Client" — an employer or hiring authority that uses the Services to fill open roles.
• "Member" — an individual who has registered with VeroSkills and provided their own professional information, and who may be invited to open roles.
• "Invitation" — a notice VeroSkills sends a Member about an open role that aligns with the information they provided. An Invitation is an offer to participate. Members choose whether to respond, and declining an Invitation has no effect on their account or on future Invitations.

2. Scope of These Terms

These Terms govern all interactions with VeroSkills, including:

• Platform Services (Client recruiters and administrators).

If you participate in both, you must comply with both sets of rules described below.

3. General Account Terms

• You are responsible for all activity under your account.
• You must be authorized to use any content you upload.
• We may suspend or terminate accounts that violate these Terms.

4. Platform Services

General

Your VeroSkills account carries your full responsibility, and you are accountable for all content published through your account. By registering and utilizing VeroSkills sites, you explicitly consent to these Terms of Service. We retain the right to terminate your account access should we determine that your conduct infringes upon our established policies.

Candidate and Client information, including interview recordings, transcripts, and messages, is confidential. VeroSkills does not license, sell, or publish it, and uses it only to deliver the Services and as described in the Privacy Policy.

You are responsible for ensuring you possess the requisite copyrights or rights to publish content on VeroSkills. You are expressly prohibited from divulging private information of third parties without their explicit consent, or from adding links to viruses or harmful programming routines.

Nothing in these Terms restricts good-faith security research conducted in accordance with our Responsible Disclosure Policy.

Payment & Paid Services

Some aspects of our Service may be offered for a fee. By choosing to utilize paid features, you consent to the pricing and payment terms, which we may revise periodically. VeroSkills reserves the right to introduce new services with associated fees, or modify existing fees, at its sole discretion.

You may terminate your VeroSkills account at any time. However, we do not provide partial or pro-rata refunds for cancellations. Upon cancellation, your account will remain active through the end of the current billing period — no refund will be issued.

Each party will keep the other's confidential information, including Client and candidate data, confidential and use it only to perform under this agreement.

5. Intellectual Property

The Platform Services, including all software, designs, text, and graphics comprising them, are the property of VeroSkills and its licensors. Client and Candidate data supplied to or generated through the Services remains the property of the Client or the individual, as applicable, and VeroSkills claims no ownership of it.

6. Confidentiality & Data Privacy

• Member and Client Data: We handle personal data per our Privacy Policy. You agree not to disclose any proprietary or personal information you learn through the Services.
• Third-Party Tools: We may integrate with background-check, payroll, or communication providers. Each tool's own terms apply.

7. Disclaimers & Limitation of Liability

• No Employment Guarantee: VeroSkills does not guarantee that a Member will receive an Invitation, an interview, or an offer, and does not guarantee that a Client will fill any role.
• Liability Cap: To the fullest extent permitted by law, VeroSkills' liability is limited to fees paid in the 6 months prior to the claim.

8. Indemnification

You (Clients and Members) agree to indemnify, defend, and hold harmless VeroSkills and its affiliates from any claims arising out of your breach of these Terms, your negligence, or your misuse of the Services.

9. Modifications & Termination

We may update these Terms at any time by posting a revised version to our sites. Continued use after notice constitutes acceptance. We may terminate or suspend your access for any reason, without liability.

10. Governing Law

These Terms are governed by the laws of Alabama, without regard to conflict-of-law principles. Any dispute must be filed in the courts of Jefferson County, Alabama.
